In these Terms, “Dibico,” “we,” “us,” and “our” refer to Dibico Inc., 246 Selleck Street, Stamford, Connecticut 06902. “You” and “your” refer to each person who accesses or uses the Website.

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

1. Website Information Only

The Website is provided for general informational and marketing purposes. Its content may describe Dibico’s capabilities, services, experience, completed projects, and general approaches to construction, renovation, property care, and home management.

Nothing on the Website constitutes:

• an estimate, bid, proposal, or offer to perform work;
• a construction contract, home-improvement contract, home-management agreement, warranty, or guarantee;
• architectural, engineering, legal, financial, safety, or other professional advice; or
• a promise that any particular service, material, design, schedule, result, or price will be available for a specific project.

You should not make construction, maintenance, safety, financial, or other material decisions solely on the basis of Website content. Appropriate professionals should evaluate the conditions and requirements of each property and project.

2. No Client Relationship; Client Agreements Control

Accessing the Website, submitting an inquiry, requesting a consultation, or communicating with Dibico through the Website does not create a contractor-client, fiduciary, advisory, or other professional relationship.

Any services provided by Dibico are governed solely by the applicable written proposal, contract, work authorization, or other agreement between Dibico and the client (a “Client Agreement”). A Client Agreement becomes effective only as stated in that agreement and after acceptance by the required parties.

If these Terms conflict with a Client Agreement, the Client Agreement controls with respect to the services covered by that Client Agreement. Nothing in these Terms modifies a Client Agreement or waives any right or obligation that cannot lawfully be waived.

3. Accuracy and Availability

We aim to keep Website content useful and accurate, but information may become incomplete, outdated, or unavailable. Dibico may change, correct, remove, or update Website content at any time without notice.

Project descriptions and photographs are illustrative. Each project is unique, and past work does not guarantee a similar result, schedule, scope, or cost. Photographs may include architecture, design elements, furnishings, landscaping, artwork, products, or work created or supplied by clients or third parties. Unless expressly stated, the appearance of an item on the Website does not mean that Dibico designed, manufactured, supplied, or installed it.

4. Permitted Use

Dibico grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for your personal, noncommercial use and for evaluating whether to contact Dibico about its services.

DIBICO DISCLAIMS ALL WARRANTIES RELATING TO THE WEBSITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

DIBICO DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR COMPLETELY ACCURATE OR CURRENT.

This Section applies only to the Website. Warranties, commitments, and remedies relating to Dibico’s services, if any, are governed by the applicable Client Agreement and applicable law.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DIBICO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, DIBICO’S TOTAL LIABILITY FOR CLAIMS ARISING SOLELY FROM YOUR USE OF THE WEBSITE WILL NOT EXCEED THE GREATER OF THE AMOUNT, IF ANY, YOU PAID SPECIFICALLY TO ACCESS THE WEBSITE OR $100.

These limitations do not apply to liability that cannot lawfully be excluded or limited. They also do not alter liabilities, warranties, remedies, or obligations arising under a Client Agreement or from services performed by Dibico.

11. Governing Law and Website Disputes

These Terms and any dispute arising solely from access to or use of the Website are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except to the extent that applicable law requires otherwise.

Subject to applicable law, any legal proceeding arising solely from access to or use of the Website shall be brought in a state or federal court with jurisdiction in Fairfield County, Connecticut, and each party consents to the jurisdiction of those courts.

This Section applies only to the Website. It does not govern services performed by Dibico, any property or construction project, or any Client Agreement. Each Client Agreement may contain its own governing-law and dispute-resolution provisions. Nothing in these Terms limits any nonwaivable rights or any applicable licensing, construction, lien, building-code, consumer-protection, or other requirements of the state or locality where services are performed or property is located.

Before filing a claim concerning the Website, you agree to contact Dibico and make a good-faith effort to resolve the matter informally.

12. Severability and Waiver

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.

Dibico’s failure to enforce a provision of these Terms is not a waiver of that provision or of the right to enforce it later.

13. Changes to These Terms

We may revise these Terms from time to time. The revised Terms will be posted on the Website with an updated effective date. Changes apply prospectively from the date they are posted unless applicable law requires otherwise.

Your continued use of the Website after revised Terms are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, please stop using the Website.
